NoWire Lighting operates this store and website, including all related information, content, features, tools, products, and services, in order to provide you, the customer, with a curated shopping experience, collectively referred to as the “Services.”

NoWire Lighting is powered by Shopify, which enables us to provide the Services to you.

Solar lighting performance may vary depending on sunlight exposure, installation location, weather, season, battery condition, and other environmental conditions.

Product descriptions, pricing, availability, and specifications are subject to change at any time without notice. We reserve the right to discontinue any product at any time and to limit product quantities offered to any person, geographic region, or jurisdiction.

Section 3 — Orders

When you place an order through the Services, you are making an offer to purchase the products in your order. NoWire Lighting reserves the right to accept, decline, cancel, or limit your order for any reason, including suspected fraud, product unavailability, pricing errors, payment issues, shipping restrictions, or other concerns.

Your order is not accepted until we confirm acceptance and process payment. Please review your order carefully before submitting it. Once an order has been accepted or entered into processing, we may be unable to modify or cancel it.

If we do not accept an order, make a change to an order, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or phone number provided at the time the order was placed.

Purchases are subject to our Refund Policy and Shipping Policy.

You represent and warrant that purchases made through the Services are for your own personal or household use and not for unauthorized commercial resale or export.

charges incurred by you will be honored by your payment provider; and
you will pay all charges incurred at the posted prices, including shipping, handling, and applicable taxes.

Section 5 — Shipping and Delivery

We make reasonable efforts to process and ship orders in a timely manner. However, shipping and delivery times are estimates only and are not guaranteed.

Shipping times may vary depending on product availability, warehouse location, supplier processing, carrier delays, destination, weather, holidays, customs processing, or events outside our control. Some orders may ship in multiple packages and may arrive on different dates.

We are not liable for shipping or delivery delays caused by carriers, customs authorities, incorrect customer information, weather events, supplier delays, or other circumstances outside our reasonable control.

Once products are transferred to the carrier, risk of loss may pass to you to the extent permitted by applicable law. Please contact us promptly if your order is lost, damaged, delayed, or marked delivered but not received.

You may not use such marks without our prior written permission. Shopify’s name, logo, product names, service names, designs, and slogans are trademarks of Shopify. All other names, logos, product names, service names, designs, and slogans on the Services are the property of their respective owners.

Section 9 — Relationship with Shopify

NoWire Lighting is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases made through our store are made directly with NoWire Lighting.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale, purchase, product, order, fulfillment, shipping, return, refund, damage, injury, loss, or claim arising from transactions between you and NoWire Lighting.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with NoWire Lighting.

All personal information we collect through the Services is subject to our Privacy Policy.

Because the Services are hosted by Shopify, Shopify may collect and process personal information related to your access to and use of the Services in order to provide and improve the Services. You represent and warrant that:

you own or have all necessary rights to the Feedback;
your Feedback does not violate the rights of any third party;
your Feedback is accurate to the best of your knowledge;
you have disclosed any compensation, discount, incentive, or free product received in connection with the Feedback; and
your Feedback complies with these Terms.

We are not obligated to maintain Feedback in confidence, pay compensation for Feedback, or respond to Feedback.

We may, but are not required to, monitor, edit, or remove Feedback that we determine, in our sole discretion, to be unlawful, offensive, threatening, defamatory, obscene, misleading, infringing, or otherwise objectionable.

We may limit, block, restrict, or control whether and how Agents access, use, or interact with the Services.

identify themselves in HTTP or HTTPS requests using a user-agent string that clearly identifies the Agent;
not conceal or misrepresent that access or interaction is coming from an Agent;
not mimic human behavior to bypass detection;
not complete, bypass, or circumvent CAPTCHAs or other measures designed to distinguish human users from automated systems;
respond truthfully to any prompt or question seeking to determine whether an interaction is coming from a human or automated system; and
not circumvent any measure designed to block, limit, modify, or control access to the Services.

We may terminate these Terms or your access to the Services, or any part of the Services, at any time and in our sole discretion, with or without notice.

You will remain liable for all amounts due up to and including the date of termination.

To the fullest extent permitted by law, NoWire Lighting disclaims all warranties and conditions, including implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

We do not guarantee, represent, or warrant that your use of the Services will be uninterrupted, timely, secure, accurate, or error-free.

Some jurisdictions limit or do not allow the disclaimer of implied warranties, so some of the above disclaimers may not apply to you.

Section 17 — Limitation of Liability

To the fullest extent permitted by law, NoWire Lighting, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, licensors, and Shopify and its affiliates will not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, exemplary, or consequential damages of any kind.

This includes, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, loss of goodwill, or similar damages, whether based in contract, tort, negligence, strict liability, or otherwise, arising from:

your use of the Services;
your inability to use the Services;
any product purchased through the Services;
delays, errors, or omissions in content;
product performance, installation, or use;
unauthorized access to or alteration of your information; or
any other claim related to your use of the Services or any product purchased through the Services.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some limitations may not apply to you.

Section 18 — Indemnification

You agree to indemnify, defend, and hold harmless NoWire Lighting, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from and against any losses, damages, liabilities, claims, demands, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your breach of these Terms of Service or any documents incorporated by reference;
your violation of any law or the rights of a third party;
your access to or use of the Services;
your misuse of any product purchased through the Services; or
any Feedback or content you submit.

We will make reasonable efforts to notify you of any indemnifiable claim. A failure to promptly notify you will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of any such claim at your expense, including the choice of counsel, but we will not settle any claim requiring non-monetary obligations from you without your consent, which may not be unreasonably withheld. You agree to cooperate in the defense of indemnified claims.

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision will be enforceable to the fullest extent permitted by applicable law. The unenforceable portion will be deemed severed from these Terms of Service, and such determination will not affect the validity or enforceability of any remaining provisions.

These Terms of Service and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and NoWire Lighting and govern your use of the Services. They supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and NoWire Lighting, including any prior versions of these Terms of Service.

Any ambiguities in the interpretation of these Terms of Service will not be construed against the drafting party.

Section 21 — Assignment

You may not delegate, transfer, or assign these Terms or any of your rights or obligations under these Terms without our prior written consent. Any attempt to do so without consent will be null and void.

We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice, to the fullest extent permitted by law.

Section 22 — Governing Law

These Terms of Service and any separate agreements by which we provide the Services will be governed by and construed in accordance with the laws of the State of North Carolina without regard to conflict-of-law principles.

You and NoWire Lighting agree that any dispute arising from or related to these Terms, the Services, or purchases made through the Services will be brought in the state or federal courts located in Yancey County, North Carolina, unless applicable law requires otherwise.

You and NoWire Lighting consent to the personal jurisdiction and venue of such courts.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.
